TERMS AND CONDITIONS OF SERVICE

These Terms and Conditions ("Agreement") govern all mobile diesel repair and maintenance services performed by Legacy Fleet Care ("Legacy Fleet Care," "we," "us," or "our") for the fleet management company or entity requesting service ("Client"). By requesting, scheduling, or accepting service, Client agrees to be bound by the terms below.

Section 1

1. Services Provided

Legacy Fleet Care provides on-site (mobile) diagnostic, repair, and preventive maintenance services for medium- and heavy-duty diesel trucks and trailers, dispatched to the location specified by Client. Specific scope of work for each visit will be confirmed via work order, estimate, or invoice.

Section 2

2. Service Calls, Scheduling & Access

  • Client will provide safe, reasonable access to the vehicle(s) and a suitable work area (level ground, adequate lighting, and clearance) at the agreed service location.
  • Service windows are estimates. Legacy Fleet Care will make reasonable efforts to arrive within the scheduled window but is not liable for delays caused by traffic, weather, parts availability, or prior jobs running long.
  • Client or an authorized representative should be reasonably available by phone during the service window to authorize any additional work discovered on-site.

Section 3

3. Estimates & Authorization of Work

  • Where practical, Legacy Fleet Care will provide a verbal or written estimate before beginning repair work.
  • If additional issues are discovered during service, Legacy Fleet Care will attempt to contact Client for authorization before performing work beyond the original scope. Emergency roadside situations (e.g., a vehicle unsafe to move) may require immediate action to prevent further damage or a safety hazard; Client authorizes such action and agrees to pay for it.
  • Diagnostic time is billable even if Client declines the recommended repair.

Section 4

4. Parts & Materials

  • Legacy Fleet Care will use new, remanufactured, or Client-approved parts as agreed. Parts are invoiced at cost plus a sourcing/handling markup unless otherwise stated in a fleet service agreement.
  • Special-order parts may require a non-refundable deposit.
  • Core charges, where applicable, will be disclosed at time of service.

Section 5

5. Payment Terms — Net 30

  • Standard payment terms are Net 30: invoices are due in full within thirty (30) calendar days of the invoice date.
  • Net 30 terms apply to Client accounts approved in advance by Legacy Fleet Care. New or non-approved accounts may be required to pay at time of service.
  • Invoices unpaid after 30 days are subject to a late fee of 1.5% per month (18% annually), or the maximum allowed by law, on the outstanding balance.
  • Accepted payment methods include company check, ACH, and major credit card. A 3% processing fee applies to payments made by credit card.
  • Accounts more than 60 days past due may be placed on a cash-on-service basis until the balance is resolved, and may be referred to collections, with Client responsible for reasonable collection costs and attorney’s fees.
  • Disputed charges must be raised in writing within 15 days of the invoice date; undisputed portions remain due per the terms above.

Section 6

6. Warranty

  • Legacy Fleet Care warrants its labor for 90 days from the date of service against defects in workmanship for the specific repair performed.
  • Parts carry the warranty (if any) provided by the manufacturer or supplier, passed through to Client; Legacy Fleet Care does not independently warrant parts beyond that.
  • This warranty does not cover damage from misuse, lack of maintenance, unrelated failures, normal wear items, or repairs/modifications performed by others after Legacy Fleet Care’s service.
  • There are no warranties, express or implied, beyond those stated in this section, including no implied warranty of merchantability or fitness for a particular purpose.

Section 7

7. Cancellation & No-Show Policy

  • Client may cancel or reschedule a scheduled visit at no charge with at least 2 hours’ notice.
  • Cancellations with less notice, or a technician arriving to find the vehicle unavailable or inaccessible, may incur a trip/dispatch charge.

Section 8

8. Limitation of Liability

To the fullest extent permitted by law, Legacy Fleet Care’s total liability for any claim arising from its services is limited to the amount Client paid for the specific service giving rise to the claim. Legacy Fleet Care is not liable for indirect, incidental, consequential, or special damages, including lost revenue, downtime, or cargo loss, except to the extent caused by Legacy Fleet Care’s gross negligence or willful misconduct.

Section 9

9. Client Responsibilities & Indemnification

  • Client is responsible for ensuring vehicles presented for service are accurately represented (known issues disclosed) and that any required permissions to access the vehicle or job site have been obtained.
  • Client agrees to indemnify and hold Legacy Fleet Care harmless from third-party claims arising from Client’s misuse of a serviced vehicle, failure to disclose known defects, or breach of this Agreement, except where caused by Legacy Fleet Care’s negligence.

Section 10

10. Environmental & Hazardous Materials

Legacy Fleet Care will handle and dispose of fluids, filters, and other waste generated during service in accordance with applicable environmental regulations.

Section 11

11. Force Majeure

Legacy Fleet Care is not liable for delay or failure to perform due to causes beyond its reasonable control, including severe weather, natural disaster, labor disputes, supply shortages, or government action.

Section 12

12. Term, Termination & Governing Law

  • This Agreement applies to each service visit and to any ongoing fleet service arrangement between the parties, and remains in effect until terminated by either party with written notice; outstanding invoices remain due regardless of termination.
  • This Agreement is governed by the laws of the State of Georgia, without regard to conflict-of-law principles. Any legal action arising from this Agreement shall be brought in a court of competent jurisdiction in Georgia.

Section 13

13. Entire Agreement

This Agreement, together with any signed fleet service agreement, work order, or invoice, constitutes the entire understanding between the parties regarding the services described. Legacy Fleet Care may update these Terms and Conditions from time to time; the version in effect at the time of service governs that service.
